   3 SUN MICROSYSTEMS, INC., THROUGH ITS JAVASOFT BUSINESS ("SUN"), IS
   4 WILLING TO LICENSE THE ACCOMPANYING JAVA ACCESSIBILITY UTILITIES
   5 VERSION 1.3 SOFTWARE AND ASSOCIATED DOCUMENTATION INCLUDING AUTHORIZED
   6 COPIES OF EACH (THE "SOFTWARE") TO YOU ("LICENSEE") ONLY ON THE
   7 CONDITION THAT LICENSEE ACCEPTS ALL OF THE TERMS IN THIS AGREEMENT
   8 PLEASE READ THE TERMS CAREFULLY BEFORE INSTALLING THE SOFTWARE. BY
   9 INSTALLING THE SOFTWARE, LICENSEE ACKNOWLEDGES THAT LICENSEE HAS READ
  10 AND UNDERSTANDS THIS AGREEMENT AND AGREES TO BE BOUND BY ITS TERMS AND
  11 CONDITIONS.  IF LICENSEE DOES NOT ACCEPT THESE LICENSE TERMS, THEN SUN
  12 DOES NOT GRANT ANY LICENSE TO THE SOFTWARE, AND LICENSEE MUST NOT
  13 INSTALL THE SOFTWARE.

  15 1.  License to Distribute.  Licensee is granted a royalty-free right
  16 to reproduce and distribute the Software provided that Licensee: (i)
  17 distributes the Software, in whole or in part, only when incorporated
  18 into Licensee's value-added applet or application ("Program"); (ii)
  19 does not distribute additional software intended to replace any
  20 component(s) of the Software; (iii) does not remove or alter any
  21 proprietary legends or notices contained in the Software; (iv)
  22 includes the provisions of Sections 2, 3, 4, 5, 7 and 8 in or in
  23 addition to Licensee's license agreement for the Program; and (v)
  24 agrees to indemnify, hold harmless, and defend Sun and its licensors
  25 from and against any claims or lawsuits, including attorneys' fees,
  26 that arise or result from the use or distribution of the Program.

  28 2.  Restrictions.  Software is confidential copyrighted information of
  29 Sun and title to all copies is retained by Sun and/or its licensors.
  30 Licensee shall not decompile, disassemble, decrypt, extract, or
  31 otherwise reverse engineer Software. Software may not be leased,
  32 assigned, or sublicensed, in whole or in part. Software is not
  33 designed or intended for use in on-line control of aircraft, air
  34 traffic, aircraft navigation or aircraft communications; or in the
  35 design, construction, operation or maintenance of any nuclear
  36 facility. Licensee warrants that it will not use or redistribute the
  37 Software for such purposes.

  39 3.  Trademarks and Logos.  This Agreement does not authorize Licensee
  40 to use any Sun name, trademark or logo. Licensee acknowledges that Sun
  41 owns the Java trademark and all Java-related trademarks, logos and
  42 icons including the Coffee Cup and Duke ("Java Marks") and agrees to:
  43 (i) comply with the Java Trademark Guidelines at
  44 http://java.sun.com/trademarks.html; (ii) not do anything harmful to
  45 or inconsistent with Sun's rights in the Java Marks; and (iii) assist
  46 Sun in protecting those rights, including assigning to Sun any rights
  47 acquired by Licensee in any Java Mark.

  49 4.  Disclaimer of Warranty.  Software is provided "AS IS," without a
  50 warranty of any kind. ALL EXPRESS OR IMPLIED REPRESENTATIONS AND
  51 WARRANTIES, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS
  52 FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT, ARE HEREBY EXCLUDED.

  54 5.  Limitation of Liability.  SUN AND ITS LICENSORS SHALL NOT BE
  55 LIABLE FOR ANY DAMAGES SUFFERED BY LICENSEE OR ANY THIRD PARTY AS A
  56 RESULT OF USING OR DISTRIBUTING SOFTWARE. IN NO EVENT WILL SUN OR ITS
  57 LICENSORS BE LIABLE FOR ANY LOST REVENUE, PROFIT OR DATA, OR FOR
  58 DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL OR PUNITIVE
  59 DAMAGES, HOWEVER CAUSED AND REGARDLESS OF THE THEORY OF LIABILITY,
  60 ARISING OUT OF THE USE OF OR INABILITY TO USE SOFTWARE, EVEN IF SUN
  61 HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  63 6.  Termination.  Licensee may terminate this Agreement at any time by
  64 destroying all copies of Software. This Agreement will terminate
  65 immediately without notice from Sun if Licensee fails to comply with
  66 any provision of this Agreement. Upon such termination, Licensee must
  67 destroy all copies of Software in its possession.

  69 7.  Export Regulations.  Software, including technical data, is
  70 subject to U.S. export control laws, including the U.S. Export
  71 Administration Act and its associated regulations, and may be subject
  72 to export or import regulations in other countries. Licensee agrees to
  73 comply strictly with all such regulations and acknowledges that it has
  74 the responsibility to obtain licenses to export, re-export, or import
  75 Software. Software may not be downloaded, or otherwise exported or
  76 re-exported (i) into, or to a national or resident of, Cuba, Iraq,
  77 Iran, North Korea, Libya, Sudan, Syria or any country to which the
  78 U.S. has embargoed goods; or (ii) to anyone on the U.S. Treasury
  79 Department's list of Specially Designated Nations or the U.S. Commerce
  80 Department's Table of Denial Orders.

  82 8.  Restricted Rights.  Use, duplication or disclosure by the United
  83 States government is subject to the restrictions as set forth in the
  84 Rights in Technical Data and Computer Software Clauses in DFARS
  85 252.227-7013(c) (1) (ii) and FAR 52.227-19(c) (2) as applicable.

  87 9.  Governing Law.  Any action related to this Agreement will be
  88 governed by California law and controlling U.S. federal law. No choice
  89 of law rules of any jurisdiction will apply.

  91 10. Severability.  If any of the above provisions are held to be in
  92 violation of applicable law, void, or unenforceable in any
  93 jurisdiction, then such provisions are herewith waived or amended to
  94 the extent necessary for the Agreement to be otherwise enforceable in
  95 such jurisdiction.  However, if in Sun's opinion deletion or amendment
  96 of any provisions of the Agreement by operation of this paragraph
  97 unreasonably compromises the rights or increase the liabilities of Sun
  98 or its licensors, Sun reserves the right to terminate the Agreement.

 100 11. Entire Agreement.  This Agreement is the parties' entire agreement
 101 relating to the Software. It supersedes all prior or contemporaneous
 102 oral or written communications, proposals, warranties, and
 103 representations with respect to its subject matter, and following
 104 Licensee's acceptance of this license by clicking on the "Accept"
 105 Button, will prevail over any conflicting or additional terms of any
 106 quote, order, acknowledgment, or any other communications by or
 107 between the parties. No modification to this Agreement will be
 108 binding, unless in writing and signed by an authorized representative
 109 of each party.
